General Terms and Conditions of René Reiser | Graphic Machines

01_ Validity

Sales are made exclusively to commercial customers. Sales to consumers within the meaning of § 13 BGB (German Civil Code) are not permitted. These General Terms and Conditions apply exclusively to all deliveries and services, including those resulting from subsequent changes. This shall also apply to a merchant or contractual partners equivalent to a merchant in accordance with the AGBG (German Law on the Term of Contracts in Commercial Transactions) even if the customer expressly stipulates otherwise and we tacitly agree to the customer's terms and conditions. The

acceptance of our deliveries and services implies acceptance of our terms and conditions. Any changes to individual provisions of the terms and conditions of sale and delivery require our written confirmation.

02_ Offers

Our offers are non-binding and subject to change. We reserve the right to prior sale. The information contained in our offers regarding type designations, years of manufacture, technical data, weights, dimensions and volume specifications, performance, characteristics, fixed and loose accessories, etc. are non-binding. They are only binding if expressly confirmed by us outside of these documents. Unfulfilled assurances and unfulfilled guarantees only entitle the buyer to withdraw from the contract. Further claims for damages are excluded.

03_ Customer protection

Any interested party to whom we offer a machine for sale or purchase as a third party shall guarantee us supplier or customer protection. They undertake not to disclose the supplier or customer address to third parties and not to purchase or sell the object of purchase themselves or through third parties other than directly through us, and to conduct all price and contract negotiations exclusively through us. In the event of a breach of this agreement, René Reiser | Grafische Maschinen shall be entitled to compensation in the amount of the difference between our purchase price and the 

offer price.

All orders, purchase agreements, and deliveries resulting from such business relationships or referrals shall also be deemed to have been brokered by us and shall be subject to the conditions set forth in the preceding paragraph.

04_ Orders

Orders placed with us are irrevocable. They shall only be deemed accepted upon our written confirmation and/or issuance of an invoice.

05_ Prices and delivery

Prices are quoted ex works at the location of the purchased item, plus the VAT rates applicable at the time of invoicing and without discount. Ancillary costs such as packaging, transport, insurance, postage, and customs duties shall be borne by the buyer. Deliveries of used machines must always be paid for before collection or delivery. The money must be credited to the company account of René Reiser | Grafische Maschinen before collection or delivery. Unless otherwise agreed, invoices for the delivery of new machines are due for payment immediately and without deduction.

06_ Brokerage transactions

In the case of brokerage transactions, a contract is concluded directly between the seller and the buyer upon acceptance of an offer. René Reiser | Grafische Maschinen does not assume any warranty with regard to the items sold. In the case of a sale brokered by René Reiser | Grafische Maschinen, the seller is obliged to disclose the terms and conditions under which a purchase contract has been concluded. If the seller fails to comply with this obligation, René Reiser | Grafische Maschinen shall be entitled to demand compensation for the loss incurred.

René Reiser | Grafische Maschinen, the seller is obliged to inform René Reiser | Grafische Maschinen of the terms and conditions under which a purchase contract has been concluded. If the seller fails to comply with this obligation, René Reiser | Grafische Maschinen is entitled to charge a flat fee of EUR 1,000 per item brokered for the services rendered.

07_ Default of payment

The buyer shall be in default of payment if the purchase price has not been credited to our company account within 7 days of the invoice date. In the event of default of payment, René Reiser | Grafische Maschinen shall be entitled to charge default interest at a rate of 10% above the ECB interest rate. The assertion of damages caused by default remains unaffected. The seller reserves the right to withdraw from the order in the event of default of payment by the buyer.

08_ Retention of title and transfer of risk

Until full payment has been made, the goods remain the extended property of René Reiser | Grafische Maschinen. In the event of default in payment, René Reiser | Grafische Maschinen is entitled, without a court order or authorization, to have the goods subject to retention of title removed from the debtor's premises after asserting its retention of title. The buyer shall bear the transport costs. All goods are shipped from the location at the risk and expense of the recipient. The risk is transferred to the recipient even if carriage paid delivery has been agreed.

09_ Warranty for used machines

Second-hand machines are always sold as they stand, in the condition in which they are found, excluding any warranty. Our liability for obvious and hidden defects is excluded here, as is any liability for damages. Used machines are considered to have been accepted and approved in accordance with the terms and conditions upon order after inspection prior to collection, loading, or commencement of dismantling.

The machines offered can be inspected and examined at the location or in our warehouse at the buyer's request before conclusion of the contract. It is the buyer's responsibility to satisfy themselves of the actual condition of the goods during the inspection opportunity offered before conclusion of the contract.

10_ Warranty for new machines

Insofar as we have not manufactured the goods ourselves but have obtained them from upstream suppliers, we fulfill our warranty obligation by hereby assigning all our own warranty claims against our upstream suppliers to the buyer. The customer accepts this assignment.

If the buyer's warranty claims are not fulfilled by upstream suppliers on the basis of the above assignment or in the absence of upstream suppliers, the following shall apply: Any defects that occur shall be remedied by us free of charge without delay. The buyer shall grant us the necessary time and opportunity to remedy any defects. If the buyer refuses to do so, we shall be released from our warranty obligation. If the repair or replacement delivery fails, the buyer may, at its discretion, demand a reduction in price or rescission of the contract.

11_ Place of performance, place of jurisdiction, applicable law

The place of performance is 75242 Neuhausen. The place of jurisdiction is the registered office of René Reiser | Grafische Maschinen. German law applies exclusively.

12_ Legal validity

The above terms and conditions form an integral part of the contract. Even if individual provisions are invalid, the remaining provisions shall remain binding. Under no circumstances shall these provisions be replaced by parts of the buyer's general terms and conditions.
